The Larkin Hoffman finance team represents borrowers and lenders in a wide range of financial transactions.


We have represented borrowers in connection with virtually every type of loan transaction, including revolving lines of credit, asset-based loans, construction and development financing, equipment financing, acquisition and project financing, leveraged buyouts, term loans, sale and leaseback transactions, Small Business Administration (SBA) loans, securitized loans and syndicated loans. We have handled financing transactions ranging from hundreds of thousands of dollars to more than $1 billion.

We assist our clients in all phases of the financing process, including structuring the loan, completing applications, lender due diligence, and reviewing and negotiating term sheets, commitment letters, loan agreements, mortgages, security agreements, guarantees and other loan documents. We are also frequently asked to serve as special Minnesota counsel for borrowers in connection with large regional or national transactions where the borrower has real estate or other collateral located in Minnesota, and to provide legal opinion letters to lenders in these transactions.

Lender’s counsel

As lender’s counsel, we represent a variety of regional and community banks in connection with similar loan transactions, including structuring the loan and collateral, inter-creditor arrangements, and preparing and negotiating the necessary loan documents.

Our representation of both lenders and borrowers allows us to also advise either side on practical and effective solutions to address most problems before they arise, and to resolve those problems that do arise as quickly and efficiently as possible.
